Parties. This Non-Disclosure Agreement (“Agreement”) is between Dennenboom BV (“Dennenboom”), and the individual who is granted access to Dennenboom information in the NormNest Trust Platform (the “User”).

Acceptance. By clicking “Submit request”, the User confirms that they have read, understood, and agree to be bound by this Agreement.

1. Purpose. Dennenboom will grant the User access to confidential materials in the Trust Platform solely to perform tasks, evaluation, or collaboration for Dennenboom.

2. Definition of Confidential Information. “Confidential Information” means all non-public information disclosed or made available by Dennenboom in or via the Trust Platform, including processes, procedures, documentation, policies, security controls, technical details, and any data derived from the foregoing.

3. Obligations. The User shall
a) keep Confidential Information strictly confidential,
b) use it only for the Purpose,
c) not disclose it to any third party without prior written consent from Dennenboom,
d) not copy, download, export, or take screenshots except as explicitly permitted in writing,
e) protect it with at least reasonable safeguards, and
f) cease all use and delete local copies immediately upon request or when access ends.

4. Exclusions. Obligations do not apply to information that the User can demonstrate:
a) is or becomes public through no breach by the User,
b) was lawfully known to the User before disclosure,
c) is independently developed without use of Confidential Information, or
d) is rightfully received from a third party without duty of confidentiality.

5. Compelled Disclosure. If the User is legally required to disclose Confidential Information, they shall give Dennenboom prompt written notice and cooperate to seek protective measures. Only the minimum required portion may be disclosed.

6. Ownership. All Confidential Information remains the exclusive property of Dennenboom. No license or other rights are granted except as expressly stated.

7. Term. Confidentiality obligations apply during access and for three (3) years after access ends. Trade secrets remain protected as long as they qualify as trade secrets under applicable law.

8. Remedies. Unauthorised use or disclosure may cause irreparable harm. Dennenboom may seek injunctive relief in addition to any other remedies.

9. Return and Deletion. Upon request or termination of access, the User shall stop using the materials and delete or return all Confidential Information, confirming deletion in writing if asked.

10. Law and Forum. This Agreement is governed by Belgian law. Courts of Ghent, Belgium have exclusive jurisdiction.

11. Entire Agreement. This is the entire agreement on confidentiality for this Purpose. If any term is invalid, the remainder stays effective. No waiver is implied by delay or omission.
